Terms of Service

Quentin is operated by Vespyn LLC (“Quentin”, “we”, “us”, or “our”). By creating an account, connecting a Kalshi account, or otherwise using Quentin, you agree to these Terms of Service and to our Privacy Policy. If you do not agree, do not use Quentin. You can reach us at biz@vespyn.com.

To use Quentin you must be at least 18 years old, be a resident of the United States in a jurisdiction where trading Kalshi event contracts is permitted, be legally able to enter into a binding contract, and hold your own Kalshi account in good standing. You are responsible for ensuring your use of Quentin is lawful where you live.

Quentin is a software automation tool. It lives in an iMessage group chat you designate and, when you connect your own Kalshi account, it can place orders on that account only as you and the members of your group chat direct, and only within the limits you set.

Quentin and Vespyn LLC are not a broker-dealer, futures commission merchant, exchange, investment adviser, commodity trading advisor (CTA), commodity pool operator (CPO), money transmitter, or fiduciary. We never take custody of your funds, your Kalshi account, or your assets. Your funds stay in your own Kalshi account at all times.

Nothing Quentin generates or displays — including market data, trade proposals, “vote cards”, summaries, or any other output — is investment, legal, tax, or trading advice, a recommendation, or a solicitation or offer to buy or sell any contract. Quentin does not exercise discretion over your account. You and the members of your group chat are solely responsible for every trading decision and for evaluating whether any trade is appropriate for you.

Quentin operates on a bring-your-own-account basis. You connect your own Kalshi API credentials. By connecting them, you represent, warrant, and agree that:

• you are the authorized holder of that Kalshi account;
• you authorize Vespyn LLC to access your Kalshi account through Kalshi’s API and to place only the orders that you and your group chat direct, strictly within the per-account limits you configure (such as maximum position size and daily spend cap);
• you remain bound by, and are solely responsible for complying with, Kalshi’s own Terms of Use, API Terms, and market and exchange rules, and your use of Quentin does not relieve you of any of those obligations;
• you are responsible for ensuring you are permitted to grant automated, programmatic API access to your Kalshi account to a third party; and
• you may revoke this authorization at any time by disconnecting your account in the console, after which we delete your stored credentials.

Quentin is independent and is not affiliated with, endorsed by, or sponsored by Kalshi (KalshiEX LLC), any exchange, or any regulator.

When you activate a group chat, you authorize the members of that chat to direct trades on your connected Kalshi account, subject to the limits you set. You decide who is in your group chats. You are solely responsible for all activity on your Kalshi account — including every trade directed by a group member — and for the people you allow to direct it. We are not responsible for the conduct of any group member.

Trading event contracts and prediction markets involves substantial risk, including the risk of losing your entire stake. Prices can move quickly and outcomes are uncertain. Only trade with funds you can afford to lose. The limits you set are a safety measure, not a guarantee against loss, and past results do not predict future outcomes.

Quentin is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted, timely, secure, or error-free.

The limits you configure are enforced on a best-effort, fail-closed basis. Trade execution depends on Kalshi’s availability, market conditions, connectivity, and other factors outside our control, and is not guaranteed.

You are responsible for safeguarding your account and your Kalshi credentials, and for all activity that occurs under your account. Notify us promptly at biz@vespyn.com if you suspect any unauthorized use.

You agree not to misuse Quentin: do not use it for any unlawful purpose, attempt to access accounts or data that are not yours, interfere with or disrupt the service, reverse engineer it except as permitted by law, or use it to violate Kalshi’s rules or any applicable law or regulation.

To the maximum extent permitted by law, Vespyn LLC and its officers, members, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, trading losses, or losses arising from trades placed on your account, whether directed by you or by a group member. Our total liability for any claim relating to Quentin will not exceed the greater of the amount you paid us for the service in the twelve months before the claim or one hundred U.S. dollars.

You agree to indemnify and hold harmless Vespyn LLC from any claims, losses, or expenses arising out of your use of Quentin, your trades, your breach of these Terms, or your violation of Kalshi’s rules or any applicable law.

You may stop using Quentin and disconnect your Kalshi account at any time. We may suspend or terminate your access if you breach these Terms or to protect the service or its users. On termination, the authorization in Section 5 ends and we delete your stored Kalshi credentials.

We may update these Terms as the service evolves. When we do, we will revise the version and date above. Material changes will be communicated through the service. Continued use after a change means you accept the updated Terms.

These Terms are governed by the laws of the State of New Jersey, where Vespyn LLC is organized, and by applicable U.S. federal law, without regard to conflict-of-laws principles. You and Vespyn LLC submit to the exclusive jurisdiction of the state and federal courts located in New Jersey for any dispute arising out of these Terms or your use of Quentin.
